Agreement to Terms

By accessing or using the VBM Presents LLC platform ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and VBM Presents LLC.

Eligibility and Account Access

Application & Access

This is a curated platform. Artists and performers must apply to join.

Accounts are only created and activated after approval by VBM Presents LLC.

You may not:

• Share your account credentials with others
• Create multiple accounts
• Transfer your account to another person

Age Requirement

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Scope of Service

VBM Presents provides:

1. Artist Portfolio Hosting - A platform for artists to create and maintain public-facing promotional profiles
2. Booking Management - Calendar and scheduling tools for managing filming sessions and events
3. Communication Tools - Chat system for correspondence between artists and booking managers
4. Payment Processing - Secure payment processing for services (when implemented)

User Content and Responsibilities

Your Content

You retain ownership of all content you upload, post, or display on the Service ("User Content"), including:

• Profile information
• Photographs and images
• Biographical information
• Social media links
• Portfolio materials

By publishing User Content on the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

• Display your User Content on the Platform
• Store and back up your User Content
• Make your User Content publicly accessible as part of your artist profile

This license terminates when you delete your User Content or close your account, except where retention is required for legal compliance or backup purposes.

Content Standards

You agree that your User Content will not:

• Violate any applicable law or regulation
• Infringe upon intellectual property rights of others
• Contain malicious code, viruses, or harmful software
• Include false, misleading, or deceptive information
• Contain hate speech, harassment, or threats
• Include private information of third parties without consent
• Promote illegal activities or violence
• Contain sexually explicit material involving minors

Copyright and Intellectual Property

You represent and warrant that:

• You own or have necessary rights to all User Content you post
• Your User Content does not infringe third-party rights
• You have obtained all necessary permissions, releases, and licenses for any third-party content

If you believe content on the Platform infringes your copyright, please contact us with:

• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief that use is unauthorized
• A statement under penalty of perjury that information is accurate
• Your physical or electronic signature

We will investigate and respond to valid copyright notices in accordance with the Digital Millennium Copyright Act (DMCA).

Prohibited Conduct

You may not:

1. Access Violations
   • Access accounts or data without authorization
   • Attempt to bypass security measures or authentication
   • Use automated systems (bots, scrapers) without permission
   • Probe, scan, or test system vulnerabilities
2. Interference
   • Disrupt or interfere with the Service or servers
   • Impose unreasonable load on infrastructure
   • Interfere with other users' access to the Service
3. Misuse
   • Use the Service for unlawful purposes
   • Impersonate others or misrepresent affiliations
   • Collect or harvest user information
   • Use the Service to train AI models or machine learning systems
   • Scrape content for commercial purposes
4. Abuse
   • Harass, threaten, or intimidate others
   • Post spam or unsolicited communications
   • Engage in fraudulent activity

Intellectual Property Rights

Our Property

The Service, including its design, features, functionality, software, and content (excluding User Content), is owned by VBM Presents LLC and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any software
• Remove or alter copyright or proprietary notices
• Use our trademarks without written permission

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

Public Profiles

Artist profiles on this Platform are publicly accessible. Any information you include in your profile can be viewed by anyone on the internet, regardless of whether they have an account.

You acknowledge and agree that:

• Your profile is publicly visible for promotional purposes
• You control what information appears on your profile
• You are responsible for ensuring you're comfortable with public visibility of profile content
• We are not responsible for how third parties use publicly available information

Payment Terms

Services and Fees

When payment processing is implemented:

• Fees for services will be clearly communicated before any transaction
• All payments are processed securely through Stripe
• Prices are subject to change with notice
• You are responsible for all applicable taxes

Refunds

Refund policies will be established and communicated when payment processing is implemented. Refunds, if applicable, will be issued at our sole discretion.

Payment Disputes

Payment disputes must be submitted in writing within 30 days of the transaction. We will investigate and respond to disputes in good faith.

Service Modifications and Termination

Our Rights

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Update these Terms with notice to users
• Refuse service to anyone for any lawful reason
• Remove or disable content that violates these Terms
• Investigate suspected violations and take appropriate action

Account Termination

We may terminate or suspend your account immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your actions pose security or legal risks
• Required by law or legal process

Your Rights

You may terminate your account at any time by requesting deletion through your account settings. Upon termination:

• Your access to the Service will be revoked
• All account data will be permanently deleted per our Privacy Policy
• This action is irreversible

Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF DATA

We do not warrant that:

• The Service will meet your requirements
• The Service will be available at all times
• Errors or defects will be corrected
• The Service is free from viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VBM PRESENTS LLC SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION
• COST OF SUBSTITUTE SERVICES

This applies whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

Our total liability for all claims shall not exceed the amount you paid us (if any) in the twelve months preceding the claim, or $100 USD, whichever is greater.

Essential Terms

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless VBM Presents LLC, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

The Service integrates with third-party services (Cloudflare, Fastmail, Twilio, Stripe). Your use of these services is subject to their respective terms of service and privacy policies.

We are not responsible for:

• Third-party service availability or functionality
• Third-party data practices
• Third-party terms or policy changes
• Issues arising from third-party service use

Dispute Resolution

Survival

Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will continue after these Terms end.
